By creating an account, initiating a free trial, connecting your Content Management System (CMS), or clicking "I agree", you signify your assent to these Terms. If you do not agree, do not access or use Niubx.
01. Acceptance of Terms
By creating an account or browsing Niubx.com, you agree to comply with all applicable local, national, and international laws and regulations. You affirm that you are at least 18 years of age and possess the legal authority to enter into these terms on behalf of yourself or an entity you represent.
02. Services & Automation Scope
Niubx provides cloud-hosted autonomous search engine optimization software that discovers search intent queries, generates on-brand editorial drafts, structures schema and internal linking, and schedules publishing directly to connected domains. The scope of service varies based on your chosen tier (Starter or Scale) and parameters configured in your project dashboard.
03. Account Registration & Security
To access features, you must complete registration with accurate, complete, and updated information. You are solely responsible for maintaining the confidentiality of your credentials and API tokens. Notify Niubx immediately of any unauthorized account access.
04. Subscription Plans & Payments
Niubx operates on recurring subscription tiers billed in advance on either a monthly or annual cadence. All fees are denominated in United States Dollars (USD) and processed via encrypted payment gateways (Stripe, PayPal). Taxes and duties are your responsibility where applicable.
05. Free Trial Periods
New subscribers may be eligible for a promotional free trial period (7 days for Starter/Basic plans and 3 days for Scale/Premier plans). You may cancel at any moment during the trial without incurring subscription fees. If not deactivated prior to expiration, your trial automatically converts into a paid recurring subscription.
06. Renewal & Cancellation
Subscriptions renew automatically at the end of each billing cycle unless you cancel beforehand via your Membership Dashboard or submit a cancellation request to our support team. Cancellation takes effect at the end of the current paid billing period.
07. 14-Day Refund Guarantee
We offer a 14-day refund window from your initial trial initiation date. If you determine Niubx does not meet your operational workflow standards within this 14-day window, you can request a full refund of your initial subscription fee pursuant to our Refund Policy.
08. Acceptable Use Policy
You agree not to use Niubx to produce deceptive, defamatory, abusive, infringing, or malicious content. Any automated attempts to reverse-engineer our platform, scrape proprietary dataset weights, or bypass billing quotas will result in immediate termination without refund.
09. Intellectual Property & Content Rights
As between you and Niubx, you own all rights, title, and interest in the finalized articles and published material generated specifically for your domains. Niubx and its licensors retain all rights, title, and interest in our proprietary algorithms, models, user interfaces, documentation, and trade secrets.
10. Third-Party CMS Platforms
Niubx integrates with third-party Content Management Systems, including WordPress, Shopify, Webflow, and Notion. You are responsible for ensuring that your integration tokens remain authorized and compliant with the respective third-party service agreements.
11. Availability & Maintenance
We strive to maintain a 99.9% uptime for our cloud infrastructure. However, maintenance windows, third-party network outages, and emergency system upgrades may occasionally cause brief interruptions. We announce planned maintenance windows whenever practically possible.
12. Data Privacy & Confidentiality
Your data security is paramount. All credentials, tokens, and domain statistics are processed under strict industry-standard encryption protocols. Details regarding our data collection and protection mechanisms are outlined in our Privacy Policy.
13. Disclaimers of Warranties
Niubx is provided on an "AS IS" and "AS AVAILABLE" basis. While our algorithms are modeled after current search engine indexing parameters, we do not guarantee specific organic rankings, search impressions, or traffic volumes, as third-party search engine algorithms remain beyond our control.
14. Limitation of Liability
To the maximum extent permitted by law, in no event shall Niubx or its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of your access to or inability to use the platform.
15. Indemnification
You agree to defend, indemnify, and hold harmless Niubx and its affiliates from and against any claims, liabilities, damages, losses, and expenses resulting from your violation of these Terms or misuse of generated content.
16. Severability
If any provision of these Terms is determined to be unlawful, void, or unenforceable by an arbitrator or court of competent jurisdiction, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.
